1. Scope
1.1 These terms apply when an organisation (the partner) buys codes from TrapSpotter BV (TrapSpotter, we) that give TrapSpotter Premium, in order to give them to its members, customers or employees. Together with each order (quotation or confirmation per batch), they form the partner agreement.
1.2 In the event of a conflict, a written agreement signed by both parties prevails, then the order, then these terms. The partner's terms and conditions do not apply.
1.3 Anyone who redeems codes does so under the terms for redeeming a code and under TrapSpotter's terms and conditions and privacy policy.
2. Codes and batches
2.1 The partner orders codes in batches. Each order states the number of codes, the duration of the Premium per code (6 or 12 months), the deadline for redeeming them, and the price.
2.2 Prices per code, excluding VAT, unless the order states otherwise:
- 25 to 99 codes: €30 for 12 months, €15 for 6 months;
- 100 to 499 codes: €25 for 12 months, €12.50 for 6 months;
- 500 codes or more: €20 for 12 months, €10 for 6 months.
For a federation that serves all its members, or in other special cases, the parties may agree a different price in writing.
2.3 Each code can be used once. TrapSpotter delivers the codes once, as a file. The partner keeps them secure and is responsible for distributing them.
2.4 If the partner reports that unredeemed codes have been lost or leaked, TrapSpotter invalidates them and replaces them free of charge with new codes with the same deadline.
3. Invoice and payment
3.1 TrapSpotter invoices each batch in advance. The codes work only once the invoice has been paid. TrapSpotter may, at its discretion, release a batch earlier; the invoice is then payable within 30 days of the invoice date.
3.2 Prices exclude VAT; VAT is charged in accordance with the statutory rules that apply to the supply. For partners in Belgium, we also send invoices via the Peppol network as soon as sending via Peppol is active for TrapSpotter.
3.3 In the event of late payment, the interest and the flat-rate compensation of €40 provided for by the Belgian Act of 2 August 2002 on combating late payment in commercial transactions are due by operation of law and without formal notice. TrapSpotter may invalidate unredeemed codes from an unpaid batch.
4. Redemption
4.1 A code is redeemed on TrapSpotter's website (trapspotter.com/code), signed in with a TrapSpotter account. Not in the app.
4.2 Anyone who redeems a code receives TrapSpotter Premium for the duration of the code. If that person already had Premium through a partner code, the period is extended from the later of today's date and the end of that Premium. The Premium does not renew automatically; after that, the person can continue at their own expense.
4.3 Premium includes the features described as Premium in the app at the time of use, in each country as the law there allows. TrapSpotter may change features as provided in its terms and conditions.
4.4 A code that has not been redeemed on or before the deadline expires. Expired or unused codes are not refunded, except where TrapSpotter cannot provide the Premium.
4.5 A redeemed code gives the full Premium period, even if the partner agreement ends in the meantime.
5. The partner's communications
5.1 The partner may make the benefit known to its members, customers and employees. In doing so, it uses TrapSpotter's name and logo as supplied by TrapSpotter, and submits new texts or campaigns to TrapSpotter in advance.
5.2 The partner promises nothing that TrapSpotter does not promise. In particular, it does not present alerts as a way to speed with impunity, and it takes the rules of each country into account: in France, the app shows speed cameras as danger zones; in Germany, the driver may not, while driving, use any function that warns of speed checks (§ 23(1c) of the German Road Traffic Regulations (Straßenverkehrs-Ordnung)).
5.3 The partner is responsible for its own communications to its members or customers, including the consent that the law requires for them (for example for emails).
5.4 TrapSpotter may name the partner as a reference, only with the partner's consent.
6. Privacy
6.1 The parties do not exchange personal data. The partner distributes the codes itself and is the controller for its own membership list and communications. TrapSpotter is the controller for the accounts and the redemptions.
6.2 The partner receives only counts: issued, redeemed and active. TrapSpotter never tells the partner who redeemed a code.
6.3 If the partner wants TrapSpotter to send codes in its name, or to process other personal data for it, the parties first enter into a data processing agreement for that purpose.
7. Resale
The partner may give codes away free of charge, including as part of a product or membership that it sells (for example "6 months of TrapSpotter with every car"). It does not sell codes separately and does not offer them on a marketplace or auction site, unless TrapSpotter agrees to this in writing.
8. Term and termination
8.1 The partner agreement runs for an indefinite period. Either party may terminate it by giving 30 days' notice. Paid codes remain redeemable until their deadline.
8.2 Either party may terminate the agreement with immediate effect if the other party commits a serious breach and does not remedy it within 15 days of a written formal notice. If the partner is in breach (for example through resale in breach of clause 7 or through misleading communications), TrapSpotter may invalidate unredeemed codes without a refund.
9. Liability
9.1 TrapSpotter's total liability is limited to what the partner paid TrapSpotter in the twelve months before the event giving rise to the damage, excluding VAT. TrapSpotter is not liable for indirect damage, such as loss of profit or reputational damage.
9.2 These limitations do not apply in the event of intent, fraud or gross negligence on the part of TrapSpotter or its employees or agents, nor to damage resulting from death or personal injury, nor to the extent that the law prohibits a limitation.
9.3 The partner indemnifies TrapSpotter against third-party claims arising from its communications or from a distribution of codes in breach of these terms.
10. Changes
TrapSpotter may change these terms and the prices by giving at least 30 days' notice. A change does not apply to batches that have already been ordered.
11. Governing law and jurisdiction
These terms are governed by Belgian law. Disputes are submitted to the courts of TrapSpotter's registered office: the Enterprise Court of Antwerp, Hasselt division, or, if that court does not have jurisdiction, the courts of the judicial district of Limburg, Hasselt division.
12. Language and contact
These terms are available in Dutch, French, English and German. In the event of any discrepancy, the Dutch text prevails.
